In plain terms

The subscription is $199 per month ex GST, billed monthly in advance to the card you give us through Stripe. You can cancel at any time; your listing stays live to the end of the month you have paid for.
Founding suppliers pay nothing for the first 6 months. We will tell you at least 30 days before the first charge.
If we change the price we give you at least 30 days' notice, and you can cancel before it applies.
Buyers pay you directly. There is no commission and no other charge.

The summary is a guide. The numbered clauses below are the terms.

1.1This agreement is between The Trade Yard Pty Ltd (ACN 702 571 122, ABN 92 135 934 189) of 2A Shaw Street, Fawkner VIC 3060 ("we", "us") and the supplier named in the account that accepts it ("you"). It covers the fees, billing and term of your access to The Trade Yard as a listed supplier. The Supplier Terms govern how you list and deal with buyers, and the Privacy Policy governs personal information; both form part of this agreement.
1.2You accept this agreement by ticking the acceptance box and entering payment details, or by a signed copy. The person accepting confirms they have authority to bind the business.

2.1The subscription gives you a verified listing on the platform, a storefront and catalogue, receipt of buyers' requests, the quoting tools, and the supplier dashboard, for as long as the subscription is current and you comply with the Supplier Terms.
2.2The subscription does not include any guarantee of requests, quotes accepted, sales or revenue. It is not exclusive: you may sell through any other channel.

3.1The fee is $199 per month ex GST. GST is added at the applicable rate and shown on each tax invoice. The fee covers one supplier business and its listing; additional locations of the same business are included unless we agree otherwise in writing.
3.2Founding suppliers, being those we accept during the founding period we state in writing when you join, pay no fee for the first 6 months. We will email you at least 30 days before your first charge, stating the amount and the date. You may cancel before that date and nothing is charged.
3.3We may change the fee by giving you at least 30 days' notice by email. The new fee applies from your first billing date after the notice period. If you do not accept the new fee, cancel before that date and you will not be charged it.
3.4There are no commissions, transaction fees or other charges from us. Buyers pay you directly.

4.1Fees are billed monthly in advance on the same day each month as the day your paid subscription started, or the last day of a shorter month. Payment is by card, charged automatically through Stripe, our payment processor. Stripe holds your card details; we do not. By providing a card you authorise us to charge the fee to it each billing date until you cancel.
4.2We issue a tax invoice for each charge to the email on your account.
4.3If a charge fails we will tell you by email and retry over the following 7 days. If payment has not been received 14 days after the billing date, we may suspend your listing until it is, and will tell you before we do. If payment has not been received 30 days after the billing date, we may end this agreement under clause 6. You remain liable for fees for any period your listing was live.

5.1You can cancel at any time from your dashboard or by emailing us. Cancellation takes effect at the end of the billing period you have already paid for; your listing stays live until then and no further charge is made. Fees already paid for the current period are not refunded, except where the law requires or clause 6.3 applies.
5.2You can rejoin later. Founding-supplier pricing applies only for the founding period and does not carry over to a later subscription.

6.1We may end this agreement by giving you 30 days' notice by email for any reason, and immediately by notice if you have breached the Supplier Terms in a way that cannot be fixed or have not fixed a breach within 14 days of being told, if your business details cannot be verified, if payment is more than 30 days overdue, or if we are required to by law. We will tell you the reason.
6.2You may end this agreement immediately by notice if we breach it in a way that cannot be fixed or do not fix a breach within 14 days of being told.
6.3If we end the agreement other than for your breach or non-payment, or you end it for our breach, we will refund the unused part of any fee you have paid for the current period, calculated by days.

7.1When this agreement ends your listing and storefront are taken down and you stop receiving requests. Quotes you have already sent stay visible to the buyers they were sent to, and orders in progress continue between you and the buyer.
7.2For 30 days after the end you may ask us for a copy of your catalogue and your quote history in a common file format, and we will provide it. After that we delete or de-identify your catalogue and keep only the records described in the Privacy Policy and those we must keep by law.

8.1We may change this agreement by giving you at least 30 days' notice by email. If a change reduces your rights or adds to your obligations and you do not accept it, you may cancel before it takes effect and clause 6.3 applies as if we had ended the agreement. Fee changes are handled under clause 3.

9.1The liability clause of the Supplier Terms applies to this agreement. Our total liability to you in connection with the subscription in any 12-month period is limited to the fees you paid us in that period, except for liability that cannot be limited by law.

10.1This agreement, the Supplier Terms and the Privacy Policy are the whole agreement between us about your subscription. Notices are given by email to the addresses on the account and are taken to be received the next business day. Neither of us may assign this agreement without the other's consent, except that we may assign it to a buyer of our business on notice to you. If any clause is unenforceable it is severed and the rest continues. This agreement is governed by the law of Victoria, Australia, and the courts of Victoria have jurisdiction.

11.1Accepted for the supplier by: [name], [position], [business name], [ABN], on [date].
